Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Blue House Technologies Sp. z o.o., a limited liability company registered in Poland with its registered office at Wspólna 17, 16-300 Augustów, Poland ("Company", "we", "us", or "our"), concerning your access to and use of the RizzeUp service ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

RizzeUp is a Software-as-a-Service (SaaS) platform that provides automated email marketing tools for eCommerce businesses. The Service is delivered entirely through software with AI-powered features for creating email marketing strategies, campaigns, flows, and audits. The Service integrates with third-party platforms including Klaviyo and Shopify, subject to your authorization.

Important: The Service is fully automated and does not include any human-driven services, manual work, consulting, or custom development. All features are delivered through the software platform.

Access to the Service is provided on a subscription basis, paid in advance. We offer standard subscription plans with varying token allowances. Tokens are consumed when using various features of the Service. We do not offer custom or enterprise pricing plans. We reserve the right to modify subscription plans, pricing, and token allowances at any time.

3. Billing and Payment

All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. Paddle is responsible for billing, invoicing, payment processing, and applicable tax (VAT/GST) collection and remittance.

By subscribing to the Service, you also agree to Paddle's Buyer Terms of Service, available at https://www.paddle.com/legal/checkout-buyer-terms.

All receipts and invoices for your subscription will be issued by Paddle. For billing inquiries or disputes, please contact Paddle directly or reach out to us at pd@bluehouse.tech.

4. Subscriptions, Cancellations, and Refunds

Subscriptions automatically renew at the end of each billing period (monthly or annual, depending on your chosen plan) unless you cancel before the renewal date. You will be charged the then-current subscription fee at each renewal.

4.1 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting us at pd@bluehouse.tech. Cancellations are effective at the end of the current billing period. You will retain access to the Service until the end of your paid subscription term.

4.2 Refund Policy

EU Consumers (14-Day Right of Withdrawal): If you are a consumer resident in the European Union, you have the right to withdraw from this contract within 14 days of purchase without giving any reason, in accordance with the EU Consumer Rights Directive. To exercise your right of withdrawal and request a refund, please contact us at pd@bluehouse.tech within 14 days of your initial purchase.

All Other Refund Requests: Outside of the EU 14-day withdrawal period, all subscription payments are final and non-refundable. We do not provide refunds or pro-rated credits for:

  • Partial subscription periods
  • Unused tokens or subscription time
  • Mid-term cancellations
  • Dissatisfaction with the Service
  • Subscription renewals (cancel before renewal to avoid charges)

This refund policy applies to all customers and all subscription plans without exception.

4.3 Token Expiration

Unused tokens do not carry over to subsequent billing periods and expire at the end of each subscription term.

5. Pricing and Plan Changes

We reserve the right to change subscription pricing, token allowances, and plan features at any time. If we increase the price of your subscription plan, we will notify you at least 30 days before your next renewal date. The new pricing will apply at your next renewal. If you do not agree to the new pricing, you may cancel your subscription before the renewal date.

All prices are exclusive of applicable taxes, which are calculated and collected by Paddle as part of the checkout process.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable law or regulation
  • Infringe the intellectual property or other rights of any third party
  • Transmit spam, unsolicited emails, or other forms of unwanted communication
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service to send malicious code, viruses, or harmful content
  • Abuse, harass, threaten, or intimidate other users
  • Resell, redistribute, or sublicense access to the Service without our written permission

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

7. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by the Company or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You retain ownership of any content you create using the Service. By using the Service, you grant us a limited license to process and store your content as necessary to provide the Service.

8. Third-Party Services

The Service integrates with and relies on third-party services, including:

  • Paddle - payment processing and billing (Merchant of Record)
  • OpenAI - AI-powered features and content generation
  • Shopify - eCommerce platform integration (subject to your authorization)
  • Klaviyo - email marketing platform integration (subject to your authorization)

Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the availability, functionality, or policies of third-party services.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content generated by the Service, including AI-generated content.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (VIA PADDLE) IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.

If you are a consumer resident in the European Union, you retain all mandatory rights afforded to you under applicable EU consumer protection laws, which cannot be limited or waived by these Terms.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

EU Consumers: Notwithstanding the above, if you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence in accordance with EU consumer protection regulations.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such notice constitutes your acceptance of the revised Terms.
